Every tech entrepreneur dreams of attracting investors to their company. Attend this breakfast workshop for a presentation on the angel investment term sheet by Sulee Stinson Clay, Managing Partner of the Washington, DC Office of McKennon Shelton & Henn. Ms. Clay will discuss the typical terms, definitions, and legal ramification of the standard term sheet, particularly a convertible bridge note. Attendees will be given samples of a term sheet, note purchase agreement and note.

Ms. Clay's Bio:

Sulee Stinson Clay, Chair of the Corporate Group and Managing Partner of the firm’s Washington, DC office, has over 16 years of experience representing companies, investors and lenders in a variety of corporate and finance transactions, including debt financings, venture capital investments and private equity mergers and acquisitions.  Sulee also serves as outside general counsel, advising a range of businesses in a variety of industries, including startups, venture backed technology companies, global manufacturing businesses, government contractors and nonprofit entities.  Sulee began her legal career in the New York office of Kirkland & Ellis and later joined the Washington, DC office of global law firm DLA Piper US where she was a partner in the Corporate Finance and Private Equity departments and served on the firm’s Policy Committee.

Sulee serves on the board of trustees of The Cesar Chavez Public Charter Schools for Public Policy, Inc. as chair of the governance committee and on the board of directors of DC Innovates, Inc., a non-profit focused on supporting technology entrepreneurs doing business in the District of Columbia.
